Program Terms.

The Guruvox Talent Scout Program is a referral arrangement, not employment, partnership, agency, or joint venture. By applying and by accepting our approval, you enter into this contract with BasedVox LLC as an independent contractor introducing prospective customers to Guruvox in exchange for a commission on qualifying revenue.

You have no authority to bind BasedVox LLC or to make representations on our behalf beyond accurately describing the Guruvox service and referring interested prospects through your assigned referral URL. You are not our employee, and you receive no salary, wages, benefits, expense reimbursement, or equipment.

You must be at least 18 years old and legally capable of entering into a binding contract. If you are located in a jurisdiction where our service or this program is not permitted, do not apply.

Every application is reviewed on the merits. We may accept or decline any application at our sole discretion, without stating a reason. Approval is required before you can accrue commissions or receive payouts. Approval is granted for you personally; it is not transferable to any other individual or entity.

On approval, we assign you a personal referral URL of the form talent.guruvox.com/<handle>/refer. Prospects who click that URL are tagged to your account for the following 30 days by way of a first-party cookie on guruvox.com. If a prospect submits a Guruvox application within that 30-day window, the resulting customer is attributed to you for commission purposes.

Only one Talent Scout can be credited for any given customer. In the event of overlapping attribution (e.g. a prospect clears their cookies and later clicks another Scout's link), attribution follows the last-click within the 30-day window at the time of the qualifying application. We do not adjudicate attribution disputes between Talent Scouts after the fact.

A prospect who signs up without going through your referral URL is not your referral, even if you introduced them separately. Direct-typed URLs, offline referrals, and prospects who have previously visited Guruvox from another source are ineligible unless we agree otherwise in writing before the signup.

Your standard commission rate is 10% of net monthly subscription revenue we collect from each customer attributed to you, for as long as they remain a paying subscriber. Individual rates may be adjusted at our sole discretion.

Hold period. Each commission accrues when we receive cleared payment from the referred customer, is held for 30 days matching the customer's money-back window, and is released to your accrued balance only after that window closes with no refund. Refunds and chargebacks reverse the corresponding accrual, whether the reversal occurs inside or outside the hold window.

Payouts. Payouts are made to your Stripe Express connected account once your accrued balance clears a $50 minimum, on a rolling basis in accordance with Stripe's payout schedule. We do not pay interest on held balances. We do not pay commissions on referrals who never subscribe, referrals who cancel within the refund window, referrals whose subscriptions we terminate for cause, or transactions we reasonably determine to be fraudulent.

Stripe onboarding. Payouts require you to complete Stripe's identity, tax, and banking collection process directly with Stripe. If Stripe cannot verify or later restricts your connected account, we cannot pay out to you until you resolve the issue with Stripe. Balances remain accrued during any such interruption for up to 12 months, after which unclaimed balances are forfeited.

You will describe the Guruvox service accurately and will not misrepresent our pricing, features, terms, guarantees, or the nature of the referral arrangement. You will not use spam, unsolicited mass messaging, misleading advertising, or SEO tactics prohibited by any major search engine to promote your referral link.

You will not bid on our brand terms (including "Guruvox," "BasedVox," and variants) in paid search, register domains or handles that impersonate Guruvox or BasedVox, run advertising that suggests you are Guruvox or that you are authorised to sell on our behalf, or otherwise seek to intercept traffic intended for us.

You will comply with the U.S. Federal Trade Commission Endorsement Guides and any equivalent rules in your jurisdiction, including any required disclosure of the compensated relationship when you promote your referral link in public contexts.

You will not represent your own or any third-party business as Guruvox, offer parallel or competing services under Guruvox's name, or use materials you receive from us for any purpose other than promoting your referral link.

You are solely responsible for all taxes, contributions, and government charges arising from commissions you receive, including income tax, self-employment tax, sales tax, and value-added tax in any jurisdiction that applies to you. We do not withhold taxes from commissions.

Where legally required, we may issue an IRS Form 1099 (or equivalent form outside the United States) reporting commissions paid to you. Whether we issue such a form or not, you remain responsible for reporting your commissions on your own tax returns.

To receive payouts you must complete Stripe's tax collection process, which may include providing a W-9 (for U.S. persons) or a W-8BEN (for non-U.S. persons) and confirming your tax identification number. Refusal or failure to complete this process disqualifies you from receiving payouts.

You may resign from the program at any time by emailing talent@guruvox.com.

We may suspend or terminate your participation at any time, with or without notice, for: (a) breach of these terms; (b) conduct that we reasonably believe exposes Guruvox to legal or reputational risk; (c) chargebacks, refund clusters, or fraud on referred subscriptions; (d) extended inactivity (no active referred customers for 12 consecutive months).

On termination. Any accrued balance that has cleared the 30-day hold window and is not subject to a pending refund, chargeback, or dispute will be paid out on the next scheduled payout cycle. Any balance still within the hold window at the time of termination is forfeited. Any commissions later clawed back for refunds or chargebacks originating from your referred customers will be recovered against future payouts or, if no future payouts are due, invoiced to you.

Termination for cause. If we terminate for material breach (fraud, misrepresentation, brand-bidding, impersonation, incitement, or coordinated abuse), we may forfeit your entire accrued balance and reserve all other rights and remedies at law.

BasedVox LLC retains all rights in the Guruvox name, logo, marketing copy, and referral infrastructure. We grant you a limited, non-exclusive, revocable, non-transferable licence to use our name and logo solely to promote your assigned referral URL in accordance with these terms. This licence ends automatically on termination.

You will treat as confidential any information marked confidential, or that a reasonable person would understand to be confidential, that you receive from us in connection with the program (including commission rates offered to other Scouts, customer lists, unreleased features, and internal metrics). This obligation survives termination for three years.

The program is provided "as is." We do not warrant any specific level of commission earnings, any specific volume of referred customers, or any specific tenure of referred subscriptions. We do not warrant that the referral infrastructure will be uninterrupted or error-free.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Talent Scout Program is limited to the commissions actually paid to you in the 12 months immediately preceding the event giving rise to the claim. In no event will BasedVox LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost opportunity, whether based in contract, tort, or otherwise.

These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules.

Any dispute arising out of or relating to these terms or the program will be resolved by binding individual arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures, conducted in Phoenix, Arizona in the English language. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and BasedVox LLC each waive the right to bring or participate in a class action, collective action, or representative proceeding of any kind against the other. Claims may be brought only in an individual capacity.

Either party may bring an individual action in a small-claims court of competent jurisdiction for a claim eligible for that forum, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

We may update these Program Terms from time to time. Material changes will be notified to you at the email address on file at least 14 days before they take effect. Continued participation in the program after the effective date constitutes acceptance of the updated terms.
